These Terms of Service (“Terms”) govern your access to and use of the website, software, tools, communications, and related services provided by LocalPop.

LocalPop is a product and service operated by A.Z CONSULTING. “LocalPop”, “we”, “us”, or “our” refers to A.Z CONSULTING operating under the LocalPop brand.

By accessing or using our website or services, you agree to these Terms. If you do not agree to these Terms, you should not use LocalPop.

  1. About LocalPop

LocalPop provides software tools that help local businesses identify, review, and manage selected Google Business Profile maintenance tasks, including review reply drafts, profile update suggestions, visibility checks, summaries, reminders, and owner-approved actions.

LocalPop may use automation and AI-assisted systems to generate suggestions, drafts, summaries, insights, or proposed actions. These outputs are provided for review and approval and are not a substitute for the business owner’s judgment.

LocalPop is designed around owner approval. LocalPop does not publish replies, profile updates, or other Google Business Profile actions without explicit approval from the business owner or an authorized user.

  1. Eligibility and Authority

You may use LocalPop only if you are legally able to enter into these Terms and use the service in compliance with applicable law.

If you use LocalPop on behalf of a business, you confirm that you are authorized to act on behalf of that business and to bind that business to these Terms.

You are responsible for ensuring that any information you provide to LocalPop is accurate, lawful, current, and complete.

  1. Business Profile Authorization

By connecting, submitting, or requesting assistance with a Google Business Profile or any other business account, you confirm that you are the owner of that business profile or are properly authorized to manage it on behalf of the business owner.

You must not use LocalPop to manage, access, modify, respond on behalf of, or take action for any business profile unless you have the legal and operational authority to do so.

You are responsible for maintaining accurate authorization and for ensuring that your use of LocalPop complies with applicable laws, Google Business Profile policies, Meta/WhatsApp policies, and any other third-party platform rules.

  1. Owner Approval and User Responsibility

LocalPop may generate draft replies, proposed profile updates, suggested actions, reminders, summaries, and other operational recommendations.

These outputs are drafts only. You are solely responsible for reviewing, approving, editing, or rejecting any draft, suggestion, or proposed action before it is published, submitted, sent, or otherwise used.

You must not approve content that is false, misleading, unlawful, abusive, discriminatory, unauthorized, or inconsistent with the actual operations of your business.

You are responsible for verifying any claims about your business, including opening hours, services, prices, availability, policies, compensation, refunds, promotions, accessibility, delivery options, reservations, or any other operational details.

LocalPop does not authorize or recommend publishing responses that include unapproved compensation, unsupported claims, inaccurate business information, or commitments that you have not verified.

  1. AI-Generated Content

LocalPop may use AI-assisted systems to generate drafts, summaries, suggested replies, recommendations, proposed profile updates, or other content.

AI-generated outputs may be inaccurate, incomplete, inappropriate, outdated, or not fully aligned with your business context. You should review all AI-generated content carefully before using or approving it.

LocalPop does not guarantee that AI-generated content will be error-free, legally compliant, policy-compliant, suitable for every situation, or appropriate for every customer interaction.

You remain responsible for any content you approve, publish, send, or use based on LocalPop’s suggestions.

  1. WhatsApp and Service Communications

If you provide your phone number or communicate with LocalPop through WhatsApp, you agree that LocalPop may send you service-related messages about your account, connected business profile, pending approvals, review reply drafts, profile update suggestions, reminders, onboarding, support, security, and product operation.

Some WhatsApp messages may ask you to reply before LocalPop sends a full draft, recommendation, or action summary.

You are responsible for ensuring that the phone number you provide belongs to you or to the business and that you are authorized to receive business-related communications at that number.

You may ask LocalPop to stop WhatsApp communication or disconnect your business from WhatsApp communication by contacting us at hello@localpop.io.

LocalPop does not permit the use of its services for spam, unauthorized marketing messages, deceptive messaging, or communications that violate WhatsApp Business policies or applicable law.

  1. Google Business Profile and Third-Party Platform Rules

LocalPop may integrate with or rely on third-party platforms and services, including Google, Meta, WhatsApp, hosting providers, analytics providers, communication providers, AI providers, and other external services.

Your use of LocalPop may depend on third-party platform availability, approvals, APIs, permissions, policies, technical limits, account status, and product changes.

We are not responsible for decisions, delays, restrictions, suspensions, outages, policy changes, feature changes, account actions, API limitations, or other actions taken by third-party platforms.

You agree to use LocalPop in compliance with all applicable third-party platform terms, policies, and rules.

  1. No Affiliation With Third-Party Platforms

LocalPop is not Google, Meta, WhatsApp, or any other third-party platform.

Unless expressly stated in writing, LocalPop is not endorsed by, sponsored by, certified by, or officially partnered with Google, Meta, WhatsApp, or their affiliates.

References to Google Business Profile, Google, Meta, WhatsApp, or any third-party platform are for identification and interoperability purposes only.

  1. User Content and Business Data

You retain ownership of the business information, content, reviews, messages, profile data, instructions, approvals, edits, and other materials that you provide to LocalPop or authorize LocalPop to access.

You grant LocalPop a limited right to access, process, store, transmit, display, analyze, and use such information as reasonably necessary to provide, operate, secure, maintain, support, and improve the LocalPop service.

You are responsible for ensuring that you have the right to provide or authorize access to any content, data, or business information used with LocalPop.

  1. Privacy and Data Handling

LocalPop’s collection, use, storage, sharing, and deletion of personal information and Google user data are described in our Privacy Policy.

By using LocalPop, you agree that we may process information as described in our Privacy Policy.

You may request that LocalPop disconnect your Google Business Profile, stop WhatsApp communication, or delete your LocalPop account data by contacting us at hello@localpop.io.

After disconnection, LocalPop will stop accessing your connected Google Business Profile data through that authorization, subject to reasonable technical, legal, security, backup, and operational limitations.

  1. Acceptable Use

You agree not to use LocalPop to:

  • Violate any applicable law, regulation, platform policy, or third-party right

  • Manage, access, or modify a business profile without proper authorization

  • Publish misleading, false, abusive, discriminatory, unlawful, or unauthorized content

  • Impersonate another person, business, or organization

  • Send spam, unauthorized marketing, or deceptive communications

  • Interfere with or disrupt the service, systems, networks, or security features

  • Attempt unauthorized access to any part of the website, service, systems, accounts, APIs, or data

  • Copy, scrape, resell, reverse engineer, or exploit the service except as permitted by law

  • Use LocalPop to build a competing service without our written permission

  • Use LocalPop in a way that could harm LocalPop, our users, third-party platforms, or the public

  1. Beta, Pilot, and Experimental Features

LocalPop may offer beta, pilot, early access, or experimental features.

Such features may be incomplete, unstable, unavailable, modified, discontinued, or subject to additional limitations.

We may change, suspend, or remove beta or experimental features at any time without notice.

  1. No Guarantee of Results

LocalPop is intended to support operational maintenance and workflow efficiency for local businesses.

LocalPop does not guarantee any specific outcome, including:

  • Higher search visibility

  • Improved rankings

  • More customer traffic

  • Increased revenue

  • More reviews

  • Better ratings

  • Review removal

  • Customer conversion improvements

  • Business growth

  • Approval by Google, Meta, WhatsApp, or any other platform

Any suggestions, drafts, insights, or actions provided by LocalPop are intended to support your workflow, but outcomes may vary.

  1. Fees and Paid Services

Some LocalPop features may be offered for free, as part of a pilot, or as paid services.

If paid services are introduced or offered to you, pricing, billing terms, payment method, renewal, cancellation, and refund terms may be provided separately.

Unless otherwise stated in writing, fees paid for services already provided are non-refundable to the fullest extent permitted by law.

  1. Intellectual Property

All content, software, branding, design, workflows, interfaces, processes, documentation, and materials on the LocalPop website and within the LocalPop service are owned by LocalPop, A.Z CONSULTING, or their licensors, unless otherwise stated.

You may not copy, reproduce, distribute, modify, create derivative works from, publicly display, publicly perform, reverse engineer, or exploit any part of the service without prior written permission, except as allowed by law.

  1. Feedback

If you provide ideas, suggestions, comments, or feedback about LocalPop, you agree that we may use them without restriction or compensation to you.

You are not required to provide feedback, but if you do, you grant LocalPop the right to use it to improve, develop, market, and operate the service.

  1. Suspension or Termination

We may suspend or terminate access to the website or service if we believe that a user has violated these Terms, used the service in a harmful or unlawful manner, created risk for LocalPop or others, violated third-party platform rules, or exposed LocalPop to legal, security, technical, or reputational risk.

You may stop using LocalPop at any time.

Termination does not limit any rights or obligations that, by their nature, should survive termination, including intellectual property, payment obligations, disclaimers, limitations of liability, and data handling provisions.

  1. Disclaimer

The website and services are provided on an “as is” and “as available” basis.

To the fullest extent permitted by law, LocalPop disclaims all warranties, whether express, implied, statutory, or otherwise, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, reliability, and uninterrupted operation.

We do not guarantee that the service will be error-free, secure, available at all times, or that any suggestions, drafts, recommendations, or outputs will be accurate, complete, compliant, or suitable for your business.

  1. Limitation of Liability

To the fullest extent permitted by law, LocalPop, A.Z CONSULTING, and their owners, operators, contractors, service providers, and affiliates will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, business opportunities, customers, reputation, or platform access arising out of or related to your use of the website or services.

To the fullest extent permitted by law, LocalPop’s total liability for any claim arising out of or relating to the website, services, or these Terms will not exceed the amount you paid to LocalPop for the service giving rise to the claim during the three months before the event giving rise to the claim, or 100 USD, whichever is greater.

  1. Indemnification

To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless LocalPop, A.Z CONSULTING, and their owners, operators, contractors, service providers, and affiliates from and against any claims, damages, liabilities, losses, costs, and expenses arising from or related to:

  • Your use of LocalPop

  • Your violation of these Terms

  • Your violation of applicable law or third-party platform policies

  • Your lack of authorization to manage a business profile

  • Content, instructions, approvals, or business information you provide

  • Actions you approve, publish, send, or use through or based on LocalPop

  1. Changes to the Service

We may update, modify, suspend, discontinue, or limit any part of the website or service at any time.

We may also update workflows, features, integrations, supported platforms, AI behavior, communication channels, and approval processes as the product develops.

  1. Changes to These Terms

We may update these Terms from time to time.

When we do, we will post the updated version on this page and update the “Last updated” date.

Your continued use of LocalPop after the updated Terms are posted means that you accept the updated Terms.

  1. Governing Law

These Terms are governed by the laws of the State of Israel, unless otherwise required by applicable law.

Any dispute arising from or relating to these Terms or your use of LocalPop will be handled by the competent courts in Israel, unless applicable law requires otherwise.
